In Finland 4 organizational structures exist pursuant to the Finnish Limited Liability Companies Act (in Finnish: “Osakeyhtiölaki”):
- A Board of Directors (in Finnish: “Hallitus”) only.
- A Board of Directors and a Managing Director (in Finnish: “Toimitusjohtaja”)
- A Board of Directors and a Supervisory Board (in Finnish: “Hallintoneuvosto”)
- A Board of Directors, a Managing Director and a Supervisory Board.
Generally, 2 types of Limited Liability Companies exist in Finland. A Limited Liability Company may be a Private Company (in Finnish: “Osakeyhtiö” or “Oy”) or a Public Company (in Finnish: “Julkinen osakeyhtiö” or “Oyj”). Each of the above mentioned structures apply to both Public Company and Private Company.
