Limited Liability Companies

Pursuant to the Honduran Companies Act (in Spanish: “Decreto 73”), a Limited Liability Company (in Spanish: “Sociedad de Responsabilidad Limitada”) must have the following organizational structure:

  1. The Partners Assembly (in Spanish: “Asamblea de Socios”) and a General Manager (in Spanish: “Gerente General”).

Joint Stock Companies

Pursuant to the Honduran Companies Act, a Joint Stock Company (in Spanish: “Sociedad de Anónima”) must have the following organizational structure:

  1. A Shareholders Assembly (in Spanish: “Asamblea de Accionistas”) and a Board of Directors (in Spanish: “Consejo de Administración”)/a Sole Administrator (in Spanish: “Administrador único”) only.
