New Zealand Structure

Pursuant to the New Zealand Companies Act 1993, a Company must have the following structure:

  1. One or more Directors constituting a Board of Directors (“BoD”) only.

Companies incorporated in New Zealand are typically Limited Liability Companies. However, a Company may elect to be an Unlimited Liability Company if it specifies as such in its Article of Association (“AoA”). The above structure applies to both Limited and Unlimited Liability Companies.
