Norwegian Structure

In Norway 2 main types of Limited Liability Companies exist: Private Limited Liability Companies (in Norwegian: “Aksjeselskap /AS”) and Public Limited Liability Companies (in Norwegian: “Allmennaksjeselskap /ASA”). The companies are subject to the Private Limited Liability Companies Act and the Public Limited Liability Companies Act, respectively.

Private Limited Liability Companies

Pursuant to the Private Limited Liability Companies Act a Private Limited Liability Company may have one of the following organizational structures:

  1. A Board of Directors (in Norwegian: “Styret”) and a General Manager (in Norwegian: “Daglig leder”)
  2. A Board of Directors only.

Public Limited Liability Companies

Pursuant to the Public Limited Liability Companies Act a Public Limited Liability Company must have the following organizational structure:

  1. A Board of Directors (in Norwegian: “Styret”) and a General Manager (in Norwegian: “Daglig leder”)

Please be aware that the General Manager is employed by the Company. Thus, appointment/dismissal of the General Manager is subject to the individual employment contract and is not further described at the CBM Site.
