Polish Structure

Limited Liability Companies

Pursuant to the Polish Commercial Companies Code, a Limited Liability Company (in Polish: “Spółka z ograniczoną odpowiedzialnością”) may have one of the following organizational structures:

  1. An Executive Board (in Polish: “Zarząd”) consisting of one or more members only.
  2. An Executive Board and a Supervisory Board (in Polish: “Rada Nadzorcza”).

Joint Stock Company

Pursuant to the Polish Commercial Companies Code, a Joint Stock Company (in Polish: “Spółka akcyjna”) must have the following organizational structure:

  1. An Executive Board and a Supervisory Board.
