Spanish Structure

Pursuant to the Spanish Corporations Act a Limited Liability Company (in Spanish: “Sociedad de Responsabilidad Limitada”) and a Joint Stock Corporation (in Spanish: “Sociedad Anónima”) may adopt any of the following organizational structures:

  1. A Sole Director (in Spanish: “Administrador Único”) only.
  2. 2 or more Joint and Several Directors (in Spanish: “Administradores Solidarios”) only.
  3. 2 or more* Joint Directors (in Spanish: “Administradores Mancomunados”) only.
  4. A Board of Directors (in Spanish: “Consejo de Administración”) only.

*Joint Stock Corporations must have 2 Joint Directors whereas Limited Liability Companies can have 2 or more Joint Directors.
